Terms of Service

These Terms of Service ("Terms") are a binding agreement between Turff Analytics ("Turff", "we", "us", or "our"), a corporation incorporated under the laws of the Province of Ontario with its head office in Toronto, Ontario, and the customer entity ("Customer" or "you") that has subscribed to the Turff platform and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Eligibility and Account Registration

The Services are intended solely for businesses and authorized professionals operating in the cannabis industry or related sectors, and not for personal, family, or household use. You must be at least the age of majority in your jurisdiction and legally authorized to enter into contracts. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. You represent and warrant that you operate in compliance with all applicable federal, provincial, and local laws and regulations, including without limitation the Cannabis Act (Canada) and applicable provincial cannabis legislation.

2. Subscription, Fees, and Payment

Access to the Services is provided on a subscription basis under the plan and billing terms set out in your order form or online checkout. Fees are payable in advance and are non-refundable except as expressly stated. Turff may change fees upon renewal with reasonable prior notice. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. All fees are exclusive of applicable taxes, which are your responsibility.

Where you elect to pay by credit card, you agree to keep a valid and current credit card on file at all times. You authorize Turff to charge such credit card for all fees due under these Terms, including any applicable surcharges. You shall promptly update your payment information to ensure uninterrupted service.

3. Acceptable Use

You agree not to:

  • use the Services in violation of any applicable law or regulation, including cannabis licensing requirements;
  • reverse engineer, decompile, or attempt to derive source code from any part of the Services;
  • resell, sublicense, or provide the Services to third parties except as expressly permitted;
  • interfere with or disrupt the integrity or performance of the Services;
  • use the Services to build a competing product or benchmark against Turff; or
  • upload or transmit any content that is unlawful, infringing, or harmful.

4. Customer Data and Confidentiality

"Customer Data" means any data you upload, input, or otherwise make available through the Services. You retain all right, title, and interest in and to your Customer Data. You grant Turff a limited, non-exclusive licence to host, process, and use Customer Data solely to provide and improve the Services.

Turff may compile aggregated, de-identified statistics based on Customer Data ("Aggregated Statistics"). Aggregated Statistics do not identify you or include any Customer Data in identifiable form. All right, title, and interest in Aggregated Statistics belong to Turff, and Turff may use them for any lawful business purpose, including to develop, optimize, benchmark, and measure Turff's products and services.

Both parties agree to keep each other's confidential information secure and use it only as necessary to perform under these Terms.

5. Intellectual Property

The Services, including all software, dashboards, methodologies, documentation, and underlying data products, are and remain the exclusive property of Turff and its licensors. These Terms grant you a limited, non-transferable, non-exclusive, revocable licence to access and use the Services during the subscription term solely for your internal business purposes. All rights not expressly granted are reserved.

6. Feedback

You may provide feedback, suggestions, and recommendations about the Services ("Feedback"). You grant Turff a worldwide, perpetual, irrevocable, royalty-free licence to use Feedback without restriction or obligation, including to incorporate it into Turff's products and services, provided that such use does not identify you without your prior written consent.

7. Publicity

Turff may use your name and logo in client lists, marketing materials, and business presentations without prior written consent. If you prefer not to be included, you may opt out by notifying us at sales@turff.ca.

8. Privacy

Turff's collection and use of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Warranty Disclaimer

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Turff disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. Turff does not warrant that the Services will be uninterrupted or error-free, or that data or analyses provided through the Services will be complete or accurate in every case.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will either party be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages. Each party's total aggregate liability arising out of or related to these Terms will not exceed the fees paid by Customer to Turff in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Turff and its directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services in violation of these Terms or applicable law, or (b) Customer Data provided to the Services.

12. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination, your right to access the Services ceases, and Turff will, on request and for a reasonable period, make Customer Data available for export in a commercially reasonable format. Sections that by their nature should survive termination will do so.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in Toronto for any dispute arising out of or related to these Terms, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

14. Changes to these Terms

Turff may modify these Terms from time to time. Material changes will be communicated through the Services or by email at least thirty (30) days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. General

These Terms, together with any order form and our Privacy Policy, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous understandings. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. You may not assign these Terms without Turff's prior written consent; Turff may assign these Terms in connection with a merger, acquisition, or sale of assets.
